Terms of Service

1. Acceptance of Terms

By creating an account, accessing, or using Prodeo, you confirm that you are at least 16 years of age and have the legal capacity to enter into a binding agreement. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and En Dash regarding your use of the Service.

2. Description of Service

Prodeo is a web-based video editing platform that enables you to:

• Upload and edit screen recordings and video files
• Add cursor tracking, zoom effects, and device frames
• Apply audio tracks, backgrounds, and overlay elements
• Render and export polished product videos
• Store projects locally in your browser or in the cloud

The Service is provided on an "as is" and "as available" basis. We continuously work to improve the Service but do not guarantee that specific features will always be available.

3. Account Registration

To access certain features of the Service, you must create an account using our OAuth authentication system. By creating an account, you agree to:

• Provide accurate and complete information through your identity provider
• Maintain the security of your authentication credentials
• Promptly notify us of any unauthorized access to your account
• Accept responsibility for all activity under your account

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe have been compromised.

4. Acceptable Use

Permitted Uses

You may use the Service for any lawful purpose consistent with its intended functionality, including:

• Creating, editing, and rendering product demos, tutorials, presentations, and other professional or personal video content
• Uploading your own screen recordings, video files, audio files, and images for use in your projects
• Exporting and distributing your finished videos on any platform or channel you choose
• Storing projects locally in your browser or in the cloud, according to your subscription plan limits

Prohibited Uses

You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not:

• Upload, process, or distribute content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable
• Use the Service to infringe upon any third party's intellectual property rights, privacy rights, or other legal rights
• Attempt to gain unauthorized access to the Service, other users' accounts, or our underlying systems and infrastructure
• Interfere with or disrupt the Service, including by introducing malware, viruses, or other harmful code
• Use automated tools (bots, scrapers, crawlers) to access the Service without our written permission
• Circumvent storage quotas, project limits, or other technical restrictions associated with your subscription plan
• Use the Service in violation of applicable export control or trade sanction regulations

We reserve the right to investigate and take appropriate action against anyone who violates this section, including removing content, suspending accounts, and reporting violations to law enforcement.

5. Intellectual Property

Our Intellectual Property

The Service, including its design, features, code, documentation, logos, and trademarks, is owned by En Dash and protected by intellectual property laws. Nothing in these Terms grants you any rights to our intellectual property except the limited right to use the Service as described herein.

Your Intellectual Property

You retain full ownership of all content you create, upload, or process through the Service, including your videos, audio files, images, and project data. We do not claim any ownership rights over your content.

Rendered Outputs

Videos you render and export through the Service are entirely yours. You may use, distribute, monetize, and publish your rendered videos without restriction, on any platform, for any lawful purpose. No attribution to Prodeo or En Dash is required. We retain no rights, license, or claim over your exported video files.

Feedback

If you provide us with feedback, suggestions, or ideas about the Service, you grant us an unrestricted, perpetual, irrevocable, royalty-free license to use that feedback for any purpose, including to improve the Service. Feedback does not include your User Content.

6. User Content

You are solely responsible for all content that you upload, create, or share through the Service ("User Content"). By uploading User Content, you represent and warrant that:

• You own or have the necessary rights and licenses to use the content
• Your content does not violate any third party's rights
• Your content complies with all applicable laws and regulations

You grant us a limited, non-exclusive license to host, store, and process your User Content solely for the purpose of providing the Service to you. This license terminates when you delete your content or close your account, subject to reasonable backup and deletion cycles as described in our Privacy Policy.

7. Subscription & Billing

Plans

The Service is available under the following plans:

• Free — Limited storage and project capacity at no cost
• Pro — Expanded storage, higher project limits, and advanced features
• Team — Maximum storage, unlimited projects, and collaboration features

Payment & Renewal

Paid subscriptions are billed through our payment processor, Stripe. Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You are responsible for keeping your payment information current.

Cancellation & Refunds

You may cancel your subscription at any time through your account settings or by contacting us. Upon cancellation, you will retain access to your paid plan features until the end of your current billing period. We do not provide refunds for partial billing periods, except as required by applicable law.

Plan Changes

If you downgrade your plan and your current usage exceeds the limits of the new plan, you may need to reduce your stored content before the change takes effect. We will not delete your content without notice, but you may be unable to upload new content until you are within the new plan's limits.

8. Service Availability

We strive to provide reliable access to the Service, but we do not guarantee uninterrupted availability. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of planned maintenance when possible.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time. If we discontinue a material feature, we will provide reasonable notice and, where applicable, the ability to export your data.

Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, EN DASH DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you. In such cases, our warranties are limited to the minimum extent permitted by applicable law.

9. Limitation of Liability

To the maximum extent permitted by applicable law, En Dash and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with your use of the Service.

Our total liability for any claims arising from or related to the Service shall not exceed the amount you have paid us in the twelve (12) months preceding the claim, or one hundred US dollars ($100), whichever is greater.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In such cases, our liability will be limited to the fullest extent permitted by applicable law.

10. Indemnification

You agree to indemnify, defend, and hold harmless En Dash and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or in connection with:

• Your use of the Service
• Your User Content
• Your violation of these Terms
• Your violation of any third party's rights

11. Termination

You may terminate your account at any time by contacting us. We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice, including if we reasonably believe you have violated these Terms.

Upon termination:

• Your right to access the Service will immediately cease
• We will delete your account data in accordance with our Data Retention Policy
• Any outstanding payment obligations will survive termination
• Sections of these Terms that by their nature should survive (such as intellectual property, limitation of liability, and indemnification) will remain in effect

12. Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to conflict of law principles.

Any disputes arising from or relating to these Terms or the Service shall first be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.

If you are a consumer in the European Economic Area, United Kingdom, or another jurisdiction that provides additional consumer protections, this section does not override any mandatory consumer protection laws that apply to you, including your right to bring claims in your local courts.

13. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of this page and, where required by law, provide additional notice (such as an in-app notification or email). Your continued use of the Service after any changes constitutes your acceptance of the updated Terms.

14. Severability & Entire Agreement

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible, and the remaining provisions will continue in full force and effect.

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and En Dash regarding your use of the Service and supersede any prior agreements or understandings, whether written or oral. Our failure to exercise or enforce any right under these Terms does not constitute a waiver of that right.
